Holders of Konzmann’s EUR 85 million senior secured bonds (ISIN NO0013683466) have approved the proposal for Nimlas AB to become issuer of the bonds, by way of a written resolution. The approval is a step towards the transaction being considered by KLAR Partners, whereby Konzmann would become part of the Nimlas group.
If the transaction is completed, the terms of the Konzmann bonds would be harmonised with those of Nimlas AB’s existing EUR 375 million senior secured bonds (ISIN NO0013505826). The two bonds would share a common security and guarantee package and rank pari passu. The transaction remains subject to, among other things, consents from other financial creditors and clearance from the Inspectorate of Strategic Products in Sweden. No decision on the transaction has been taken. If completed, it is expected to close during Q1 2027.
The notice of the outcome of the written resolution is available at stamdata.com.
